These Terms & Conditions (the "Terms") are a binding agreement between you and Hostvo, Inc.("Hostvo," "we," "us") governing your access to and use of the Hostvo website, dashboard, and AI phone-answering service (together, the "Service"). By creating an account, forwarding a phone line to us, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy, which are incorporated by reference. If you don't agree, don't use the Service.

1. Who may use Hostvo

You must be at least 18 years old and able to form a binding contract. If you accept these Terms on behalf of a restaurant, business, or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. The Service is intended for businesses and is not directed to consumers or to children.

2. The Service

Hostvo operates an AI phone host for restaurants. It answers inbound calls, holds natural conversations, captures structured information (reservations, pickup orders, catering inquiries, FAQs, and similar), sends confirmations and notifications by SMS, and escalates to human staff when configured to do so. Features, plans, and supported capabilities may change over time as we improve the Service.

Hostvo is a tool that assists your operations. It is not a substitute for your own judgment, and it does not provide legal, food-safety, medical, or allergen advice. You are responsible for the accuracy of the menu, hours, pricing, and policies you provide, and for the orders, reservations, and commitments captured on your behalf.

3. Accounts and security

  • Provide accurate account information and keep it current.
  • Keep your credentials confidential and don't share logins. You're responsible for activity under your account.
  • Notify us promptly at security@hostvo.ai of any unauthorized access or security incident.

4. Telephony, transcription, and AI disclosure

Using the Service means callers to your restaurant interact with an automated AI assistant. Hostvo transcribes calls for order accuracy, quality, and support, but does not record or store call audio. You are responsible for complying with all laws that apply to your calls, including:

  • AI disclosure. Hostvo discloses that callers are speaking with an automated assistant. You agree not to disable or obscure this disclosure where it is required by law.
  • Call recording consent.Because Hostvo transcribes calls but does not record or store audio, two-party call-recording-consent laws do not apply to Hostvo's processing. Monitoring and notice laws still vary by jurisdiction (including one- and two-party rules), and you remain responsible for any notices or consents your calls require.
  • Messaging. SMS confirmations and notifications are subject to applicable telemarketing and messaging laws (e.g., TCPA, A2P 10DLC, and carrier policies). You will obtain and maintain any consents required to message your customers and staff.

You are responsible for forwarding your own phone line(s) to Hostvo and for any charges your carrier imposes. You represent that you are authorized to forward the numbers you connect.

5. Acceptable use

You agree not to misuse the Service. Among other things, you won't use it to defraud, harass, threaten, or mislead callers; to violate any law; to infringe others' rights; or to attempt to disrupt or reverse-engineer the Service. Full details are in our Acceptable Use Policy, which you agree to follow. We may suspend or terminate accounts that violate it.

6. Fees, billing, and the pilot

  • Subscription. Paid plans are billed in advance on a recurring basis at the price shown when you subscribe. Fees auto-renew each cycle unless you cancel before the renewal date.
  • Free pilot.If you're offered a no-cost trial or pilot, the Service is free for the stated period; afterward, paid terms apply unless you cancel. We'll make the terms of any pilot clear before it begins.
  • Taxes.Fees are exclusive of taxes; you're responsible for applicable sales, use, and similar taxes.
  • Cancellation & refunds. You can cancel anytime from the Billing page; cancellation takes effect at the end of the current cycle. Except where required by law, fees already paid are non-refundable.
  • Changes to pricing.We may change prices with at least 30 days' notice; changes apply at your next renewal.

7. Customer data and privacy

"Customer Data" means the call transcripts, orders, reservations, contact details, and other content processed through your use of the Service. As between you and us, you own your Customer Data. You grant us a limited license to host, process, and use it to provide and improve the Service, and to create de-identified, aggregated data that does not identify you or any individual. Our handling of personal data is described in the Privacy Policy; where we act as your processor, the Data Processing Addendum applies. The third parties that help us run the Service are listed in our Subprocessors page.

8. Intellectual property

The Service, including its software, models, designs, and the Hostvo name and logo, is owned by Hostvo, Inc. and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We welcome feedback and may use it without obligation to you.

9. Third-party services

The Service relies on third-party providers (for example, telephony, speech, AI model, and payment vendors). Their availability and terms are outside our control, and we aren't responsible for third-party services. Your use of integrated third-party services may be subject to their own terms.

10. Service availability

We work hard to keep the Service reliable, but we don't guarantee uninterrupted or error-free operation. We may perform maintenance, update features, or impose reasonable usage limits. Any specific uptime commitments will be stated in a separate service-level agreement if one applies to your plan.

11. Disclaimers

Except as expressly stated, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be error-free or that AI output will always be accurate or complete.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is capped at the fees you paid to us in the 12 months before the event giving rise to the claim. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You will defend and indemnify Hostvo, Inc. and its officers, employees, and agents against claims, damages, and costs arising from your Customer Data, your use of the Service in violation of these Terms or applicable law, or your failure to obtain required consents or disclosures.

14. Termination

You can stop using the Service and cancel anytime. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; you may export your Customer Data for a reasonable period as described in the Privacy Policy, after which we may delete it. Sections that by their nature should survive (for example, fees owed, IP, disclaimers, liability, and indemnification) survive termination.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we'll provide notice (for example, by email or in the dashboard) at least 30 days before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes, and you consent to venue there, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

17. Electronic records and signatures

You agree to transact with us electronically. When you check a box, click a button, or otherwise indicate your acceptance of these Terms (for example, when you create your account, claim your AI host, or request go-live), that action is your electronic signature and has the same legal effect as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law (UETA). We keep a record of the version you accepted and when, and you may request a copy by emailing legal@hostvo.ai. You may withdraw your consent to transact electronically by closing your account; doing so means you can no longer use the Service.
